Résumé

Cet article étudie la Société anonyme à participation ouvrière (Sapo) au moment où celle-ci fête son centenaire, et alors que la loi sur l’ESS de 2014 n’a pas promu ce statut d’entreprise participative. Les auteurs étudient dans un premier temps la Sapo comme objet juridique, notamment en la comparant à la Société coopérative de production (Scop), puis s’intéressent au processus historique qui a conduit à la création et à l’évolution de cette formule juridique à partir de 1917. Enfin, au travers de l’étude des deux Sapo Ambiance Bois et Nova Construction, l’intérêt très actuel des Sapo est souligné dans deux situations. D’abord dans le cadre d’une reprise d’entreprise par ses salariés, ensuite pour faciliter une pratique autogestionnaire au long cours.

Abstract

This article looks at the PLC with employee participation (société anonyme à participation ouvrière, SAPO) as it celebrates its centenary while the 2014 SSE legislation has not promoted this form of participatory firm. The authors first look at the SAPO as a legal form, in particular in comparison with a workers’ cooperative (société coopérative de production, SCOP). They then retrace the history that led to the creation and development of this legal form in 1917. Lastly, through a study of two of them, Ambiance Bois and Nova Construction, the very current relevance of the SAPO form is highlighted in two cases. The first concerns an employee buyout and the second as a way of ensuring workers’ self-management over the long term.

Resumen

Este artículo considera el modelo de la sociedad anónima laboral, en el momento de su centenario, mientras que la ley sobre la economía social y solidaria de 2014 no ha promovido este estatuto de empresa participativa. En la primera parte, los autores analizan la sociedad anónima laboral como objeto jurídico, particularmente comparándola con la sociedad cooperativa de producción (SCOP). Después ponen el foco en el proceso histórico que ha logrado a la creación y a la evolución de esta forma jurídica a partir de 1917. Por fin, à través el estudio de Ambiance Bois y Nova Construction, los autores destacan el interés que presentan actualmente las sociedades anónimas laborales en dos situaciones: en primer lugar en el marco de la recuperación de una empresa por sus empleados, y en secundo lugar para facilitar una practica autogestionara a largo plazo.
