Résumé
La réforme opérée par le Code civil du Québec a rapproché les régimes juridiques de la société et celui de l’indivision. Le parallélisme est aujourd’hui tellement éclatant qu’il remet en question tous les critères traditionnels de distinction. Les conséquences de la réforme ne s’arrêtent cependant pas là.
L’indivision et la société en participation peuvent depuis 1994 être superposées et donner lieu à l’éclatement d’une toute nouvelle technique juridique, qui se distingue tant de la société que de l’indivision. En effet, l’amalgame des régimes juridiques modifie la dynamique des associés à l’égard des tiers. La société se voit ainsi dotée de certaines caractéristiques que ne détenait aucune des institutions d’origine.
Abstract
In its reform of the civil law, the Civil Code of Québec has drawn together two juridical regimes, namely partnership and indivision. The parallels are now so striking that they call into question the traditional criteria of distinction. The consequences of the reform do not, however, end here.
Since 1994, indivision and undeclared partnership can be readily superimposed and give rise to a new juridical technique which is as distinct from the notion of partnership as it is from that of indivision. In effect, this amalgamation of juridical regimes modifies the relationship between the partners and third parties. Partnerships are thus imbued with attributes which were unknown to the original institutions.
