Résumé
La mise en oeuvre, en droit civil québécois, de la responsabilité quasi-délictuelle d’un mandant pour la faute de son mandataire se trouve affectée de graves problèmes, dont on peut rechercher la cause originelle dans son fondement légal. Les articles 1727 C.c. et 1731 C.c. traitent de la responsabilité du mandant vis-à-vis du tiers. Mais alors que le premier est également susceptible de justifier un recours contractuel du fait d’autrui, le second, faisant référence quant à ses conditions d’application à l’article 1054 C.c., porte exclusivement sur le recours quasi-délictuel. Il existe donc un problème d’interprétation de ces dispositions, qui a eu pour conséquence de laisser dans l’incertitude les conditions d’une responsabilité quasi-délictuelle du fait d’autrui, propre au domaine du mandat. Enfïn, les conditions générales de la responsabilité des commettants, édictée par l’article 1054 alinéa 7, semblent inadaptées à ce contrat. Celui-ci nécessitant habituellement de laisser une certaine liberté d’exécution au mandataire, il serait très rare de remplir la condition de lien de préposition, exigée par l’article 1054 alinéa 7. Partant de la constatation du Comité sur le mandat de l’Office de Révision du Code civil, de l’insuffïsance du projet d’article destiné à remplacer la disposition actuelle (C.c. 1731), l’auteur cherche dans cette étude à formuler un nouveau texte répondant aux critiques portées à celui de l’O.R.C.C. Un examen des fondements théoriques et pratiques de la responsabilité quasi-délictuelle du fait du mandataire, et de ses conditions de mise en oeuvre, fait ressortir le besoin actuel d’une telle responsabilité, ainsi qu’une tendance jurisprudentielle majoritaire à interpréter la référence de l’article 1731 C.c. à l’article 1054 C.c. dans le sens d’une assimilation directe du mandant et du commettant, sans rechercher l’existence du lien de préposition. Les juges concentrent alors leurs efforts sur la seule condition constante de cette responsabilité du mandant : l’intégration de la faute du mandataire à l’exercice de ses fonctions. Cependant une analyse jurisprudentielle des cas limites de responsabilité révèle aussi qu’il n’existe en ce domaine aucun critère réellement juridique. La notion d’intérêt et de bénéfice de l’acte dommageable », proposée par la doctrine actuelle sur le terrain général de la responsabilité du commettant, certainement utile par l’objectivité qu’elle apporte, ne suffit pourtant pas parce qu’il s’est développé deux interprétations jurisprudentielles, in concreto et in abstracto, de cette notion. Ceci est particulièrement le cas lorsque la faute du mandataire, liée à son caractère désobéissant ou malhonnête, fait sortir l’acte de l’exécution du mandat. L’auteur recommande finalement l’adoption d’un texte qu’il propose, précisant, tout en laissant une marge d’appréciation aux tribunaux, les limites de cette responsabilité, qui ne devrait être retenue que lorsque la faute du mandataire n’affecte que la mise en oeuvre du mandat, mais non le contenu de celui-ci sauf, dans ce dernier cas, si l’acte conservait un intérêt plausible pour le mandant, et que celui-ci avait gardé un contrôle effectif sur le mandataire.
Abstract
The Civil Law of Quebec dealing with the mandator's quasi delictual liability incurred through the mandatary's fault lacks effectiveness, mainly because its legal basis remains unclear. Both article 1727 C.c. and 1731 C.c. could justify a quasi delictual remedy for a victim, but a puzzling question of interpretation arises. While the former article can also justify a contractual liability, the latter deals exclusively with the quasi delictual field, since its application is expressly linked with article 1054 C.c. which is included in the chapter of the Civil Code dealing with quasi offences. Such an ambiguity induces a serious indetermination affecting the development of a truly mandate related quasi delictual liability. Moreover, the conditions of the master's responsibility for the damage caused by his servant enacted by article 10.54 C.c. alinea 7, seem inadequate to the mandate field. Where a relative freedom of execution is needed by the mandatory, article 1054 C.c. alinea 7 asks for a close control over him in order to successfully sue the master. Therefore the latter would only seldom be liable for the faulty act of his agent. Seeing the inadequacy of the drafted article of the O.R.C.C., the author strives in this study to propose a more acceptable formula. A review of the theoretical and practical legal basis and of the enforcement conditions of the mandator's quasi delictual liability for the damage caused by his mandatory, reveals altogether a serious need for such a liability and a large jurisprudential trend to simply assimilate a mandator to a master, without trying to prove the latter's control over the mandatory. Consequently the Courts' efforts concentrate on analysing the remaining condition: the damage must have been caused by mandatories "in the performance of the work for which they are employed". But a careful analysis of the most controversial cases show the lack of any actual legal test on the question. Although the "interest and benefït of the faulty act" formula proposed by the modern authors in the field of the master's liability presents a more objective test, it is still insufficient for the mandator's liability since it has been interpreted too loosely (in abstracto), particularly in the most controversial cases, where the mandatory, because he disobeyed or has been clearly dishonest, acted outside the scope of the work for which he was employed. The author fïnally recommends the enactment of a proposed formula which, while leaving a margin of discretion to the Courts, makes the limits of the liability more specific. Such liability should only be incurred where the mandatory's faulty act affects the enforcement of the mandate, but not where it affects its content except, in the latter case, if it still showed a possible interest for the mandator and if the mandatory was effectively acting under his actual control.
